1. About these terms
1.1 These terms and conditions set out the basis on which you contribute content to NEDness, whether by appearing on the NEDness podcast, writing an article or review, taking part in an author session, or providing other content. They apply alongside any briefing we share with you for your form of contribution.
1.2 NEDness content is produced by NEDness Ltd, a company incorporated in Jersey with registered number 165842 and registered office at 2nd Floor, 3 Commercial Street, St Helier, Jersey. References to “NEDness”, “we”, “us” and “our” mean NEDness Ltd. References to “you” and “your” mean the contributor.
1.3 By contributing content to NEDness, you confirm that you have read and accept these terms.
2. Definitions
In these terms:
- Contribution means everything you create, provide, present or take part in for NEDness content, whether written, spoken, recorded or live, together with your name, role, organisation, voice, image, likeness and any biographical or profile information you supply.
- Content means the published material in which your Contribution appears, including an article, review, podcast episode, recording or author session.
- The community means the audience for whom NEDness produces and publishes its content.
3. Consent, licence and intellectual property
Your consent and the licence you grant
3.1 You grant NEDness a worldwide, royalty-free, irrevocable licence to create, record, copy, edit, adapt, publish, broadcast, distribute, make available and promote your Contribution and the Content, in whole or in part, across all media and channels now known or developed in future, for as long as NEDness considers appropriate.
3.2 The licence in clause 3.1 includes the right to use your name, role, organisation, voice, image, likeness and biographical information in connection with the Content and its promotion, and the right to create and use excerpts, clips and quotations.
3.3 You confirm that you are entitled to grant the rights in this clause 3, including where you contribute in connection with your role at an organisation, and that your Contribution will not infringe the rights of any third party.
Intellectual property
3.4 NEDness owns the Content it produces, including all rights in any article, recording, sound recording or film.
3.5 To the extent that any rights in your Contribution would otherwise rest with you, including any copyright or performer’s rights under the Intellectual Property (Unregistered Rights) (Jersey) Law 2011, you consent to the uses set out in this clause 3 and grant NEDness the rights it needs to make those uses.
3.6 You retain ownership of any pre-existing materials you bring to your Contribution, and grant NEDness a licence to use them as part of the Content and its promotion.
4. Your responsibilities, editing and publication
Your responsibilities
4.1 You are responsible for the accuracy of any factual statements in your Contribution.
4.2 You agree not to provide content that you know, or ought reasonably to know, to be untrue, defamatory, unlawful or in breach of a duty of confidence owed to another person.
4.3 You agree not to disclose confidential information belonging to any organisation without authority to do so.
Editing, review and approval
4.4 Your Contribution will be edited by NEDness. Editorial control rests with NEDness at all times.
4.5 Before publication we will share the edited Content with you so that you may raise factual corrections or concerns. We will consider those in good faith, although the final form of the Content remains our decision.
4.6 We may decline to publish, or may amend, any Content that in our view raises a legal or reputational risk.
4.7 Publication takes place once the Content has been approved through the NEDness process. The stages are summarised below.

Promotion and withdrawal
4.8 We may use short excerpts, clips and quotations from the Content to promote it across the NEDness ecosystem and its channels, and through email notifications. We will present excerpts fairly and in keeping with the substance of your Contribution.
4.9 You may withdraw before your Contribution is recorded or submitted. After that, you may raise concerns through the review process above. Once Content has been published, the licence in clause 3 continues to apply, although we may at our discretion remove or amend Content if circumstances warrant.
5. How we handle your personal data
5.1 NEDness Ltd is the controller of your personal data for the purposes of your Contribution. We process your personal data in accordance with the Data Protection (Jersey) Law 2018 and the Privacy Policy.
5.2 We process your personal data to produce, publish and promote the Content, on the basis of the agreement between us and our legitimate interests in producing and publishing NEDness content. Where we rely on your consent for any optional use, you may withdraw that consent at any time, although this will not affect Content that has already been published.

5.4 Some of the services above are based outside Jersey. Where your personal data is transferred to a jurisdiction without an equivalent standard of protection, we rely on the safeguards in our agreements with those providers.
5.5 You have rights over your personal data, including rights of access, correction and, in certain circumstances, erasure and objection. To exercise a right, or to ask a question about how we handle your personal data, contact us at privacy@nedness.com.
6. General terms
Contributing without fee
6.1 You contribute without payment, and no fee is payable by either party unless we agree otherwise in writing.
Limitation of liability
6.2 Nothing in these terms limits liability that cannot be limited by law.
6.3 Subject to clause 6.2, NEDness is not liable for any indirect or consequential loss arising from your Contribution.
Governing law and jurisdiction
6.4 These terms and conditions, and any dispute arising from them or from your Contribution, are governed by the law of Jersey.
6.5 The parties submit to the exclusive jurisdiction of the courts of Jersey.
